Terms of Service
These terms govern access to and use of the Contexta dashboard (the “Service”), operated by ELab Limited (“ELab”, “we”, “our”). By signing in or using the Service, you accept these terms on behalf of yourself and the organisation you represent.
1. The Service
The Service provides authenticated users with a view of the Contexta capabilities, organisation rules, and configuration that ELab has provisioned for their organisation. Some features are restricted to designated administrators within an organisation, and certain platform-wide features are restricted to ELab staff.
2. Accounts and access
Access is granted by ELab on a per-organisation basis. We may provision, modify, or revoke access for any user or organisation at any time, including where required to protect the Service or to comply with the agreement under which the organisation receives Contexta. You are responsible for keeping your credentials secure and for activity under your account.
3. Acceptable use
You agree not to:
- attempt to access organisations, capabilities, or rules other than those granted to you;
- probe, scan, or test the vulnerability of the Service, or circumvent any access control or rate limit;
- upload content that is unlawful, infringing, malicious, or contains personal data you are not authorised to share;
- use the Service to build a competing product or to train models that replicate ELab’s methodology.
4. Your content and data
You retain ownership of any organisation rules, configuration, and related content you submit. You grant ELab a non-exclusive licence to host, process, and display that content for the purpose of operating the Service for your organisation. Our handling of personal data is described in our Privacy Policy.
5. ELab content
Capabilities, skills, methodology, and other materials made available through the Service remain the intellectual property of ELab or its licensors. Nothing in these terms transfers any ownership of that material to you.
6. Service availability
We aim to provide a reliable Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time, and we may perform maintenance with or without notice.
7. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the extent permitted by law, ELab excludes all warranties, conditions, and representations not expressly set out in these terms or in a separate written agreement with your organisation.
8. Liability
Where ELab’s liability cannot be excluded by law, our total aggregate liability arising out of or in connection with the Service is limited to the amount paid by your organisation to ELab for the Service in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential loss.
9. Changes to these terms
We may update these terms from time to time. Material changes will be communicated through the Service or by email to organisation administrators. Continued use of the Service after a change takes effect constitutes acceptance of the updated terms.
10. Governing law
These terms are governed by the laws of New Zealand and the parties submit to the non-exclusive jurisdiction of the New Zealand courts.
